Sponsorship AgreementCrescent Project, Inc. This Sponsorship Agreement (“Agreement”) is for the 2025 CRESCENT PROJECT EVENT: Sahara Challenge LIVE 2025 at Providence Church, Raleigh, NC(“Event”) is between CRESCENT PROJECT and the Sponsor (“Sponsor”) named below. To become a Sponsor of the Event, please electronically sign and submit this Agreement. The following terms and conditions are part of the Agreement between CRESCENT PROJECT and the Sponsor. 1. EFFECTIVENESS OF AGREEMENT. The Agreement shall become binding and effective only upon delivery by Sponsor to CRESCENT PROJECT of Sponsor’s completed and executed (payment received) Agreement, no later than 30 days from agreement signature. 2. FEES. Full payment for all fees is due no later than 30 days prior to sponsored event. All Sponsorship fees paid hold your Sponsorship space and are nonrefundable. 3. EVENT DATES AND HOURS- CRESCENT PROJECT reserves the right to make any changes as it may deem appropriate to Event dates and times. CRESCENT PROJECT shall communicate any changes to Event dates and times to the Sponsor as soon as possible. 4. CANCELLATION OR TERMINATION If, because of war, fire, strike, government regulation, public catastrophe, an act of terrorism or public enemy, or an Act of God, the Event or any part thereof is prevented from being held, is canceled by CRESCENT PROJECT and in its sole discretion, shall determine and refund to the Sponsor its proportionate share of the balance of the sponsor fees received which remains after deducting expenses incurred by CRESCENT PROJECT. 5. CHANGES TO AGREEMENT Any changes to the Agreement must be in writing and mutually agreed to. 6. EVENT PARTICIPATION The rights hereunder are exclusive to Sponsor, and Sponsor shall not assign its rights to a third party. 7. INDEMNITIES AND LIMITATION OF LIABILITY Neither CRESCENT PROJECT nor its officers, directors, employees, agents, independent contractors or representatives shall be responsible for any injury, loss, or damage that may occur to Sponsor or to Sponsor’s agents, employees, affiliated personnel, officers, directors, shareholders, contractors or representatives or any of their property, businesses, or other activities from any cause whatsoever, prior to, during, or after the Event. By signing the Agreement, Sponsor assumes all such risk and expressly releases, and agrees to indemnify, defend and hold harmless, CRESCENT PROJECT, INC and its officers, directors, employees, agents, independent contractors and representatives from any and all claims for such loss, injury, or damages. 8. INSURANCE. Sponsor shall obtain and maintain throughout the term of the Event, liability insurance providing coverage against injuries to the person and property of others, with minimum limits that are commercially reasonable for the type of business and activities engaged in by Sponsor. 9. GOVERNING LAW This Agreement is governed by the laws of the State of Tennessee and/or Indiana, and Sponsor consents to the jurisdiction of the state and federal courts located in Tennessee and/or Indiana. 10. SPONSOR BENEFITS Gold Sponsor — 30-second promo video inclusion in General Session loop, prime exhibition space (10 ft. x 10 ft. space with 6 ft. table and tablecloth provided), logo recognition on Conference banners and website, full page ad in Conference materials, two complimentary passes, staff & sponsor meals on-site included (coffee and snack breaks, two lunches, two dinners)Silver Sponsor — Exhibition space (6 ft. table and tablecloth provided), logo recognition on Conference banners and website, half page ad in Conference materials, one complimentary pass, staff & sponsor meals on-site included (coffee and snack breaks, two lunches, two dinners)Bronze Sponsor — Quarter page ad in Conference materials, logo recognition on website, one complimentary pass.Add-Ons — outlined on previous page; these are available only as an add-on to purchasing a Gold, Silver or Bronze Sponsorship, are available first-come, first-served. 11. REQUESTED SPONSORSHIP - CRESCENT PROJECT will deliver an email to Sponsor acknowledging receipt of the executed Agreement. Upon receipt of Agreement, CRESCENT PROJECT, INC. will deliver an invoice to Sponsor requesting payment. 12. AUTHORIZATION By the signature below, the individual signing this Agreement represents that he or she is authorized to execute this Agreement on behalf of the Sponsor, and that he or she has read, fully understands and agrees to the Terms and Conditions of this Agreement. This agreement is fully executed with both the signing, then subsequent payment of Sponsorship within 30 days of contract signature date, and no later than 30 days before the event.
